These Terms & Conditions ("Terms") explain the rules that apply when you use Stage Captions ("Stage Captions", "we", "us", or "our"). By accessing the website stagecaptions.io or any related services (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please stop using the Services.

1. Service Description

Stage Captions provides browser-based software that lets event teams connect audio, generate real-time captions, and share them with attendees across venue screens, livestreams, and personal devices.

2. Accounts and Access

You must create an account to run sessions. You agree to provide accurate information, keep your credentials secure, and notify us immediately of any unauthorized use. You are responsible for all activity under your account until it is closed.

3. License and Intellectual Property

We grant you a limited, non-exclusive, non-transferable license to use Stage Captions in accordance with these Terms and any written order. We (and our licensors) retain all rights, title, and interest in the Services, including all intellectual property. You may not copy, modify, reverse engineer, or create derivative works of the platform.

4. Payment and Refunds

Fees, when applicable, are billed according to the quote or plan agreed with us. Unless a written order states otherwise, fees are due upon receipt and become non-refundable once a session begins. We may suspend access for unpaid amounts.

5. Communications

We may send you announcements and administrative messages related to the Services. You can opt out of marketing emails, but we may still send operational notices that are required to run the Services.

6. Acceptable Use

You agree not to:

• interfere with or disrupt the Services;
• capture, copy, or redistribute audio, captions, or transcripts without consent from the relevant organizer, presenter, or attendee;
• use Stage Captions to violate any law or third-party right;
• attempt to gain unauthorized access to the Services or related systems.

We may suspend or terminate access for violations.

7. Audio, Captions, and Data

Audio and captions are processed in real time. We do not store transcripts by default unless both parties ask us to enable that feature. You keep any rights to content you supply and grant us a limited right to process it solely to deliver the Services. If you delete your account, we remove associated content subject to any legal retention requirements.

8. Third-Party Tools

You can use Stage Captions alongside third-party software (for example, OBS or Resolume). Those products are governed by their own terms, and we are not responsible for third-party services or integrations.

9. Service Availability

We aim to keep Stage Captions online, but maintenance or interruptions may occur. The Services are provided "as is" and "as available" without warranties of uninterrupted availability.

10. Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim is limited to the fees you paid (if any) for the Services during the previous six (6) months. We are not liable for consequential, incidental, or special damages.

11. Dispute Resolution

If a dispute arises, you agree to first work with us in good faith to resolve it informally. If we cannot resolve the dispute within thirty (30) days, it will be settled by binding arbitration. Either party may seek injunctive relief for misuse of intellectual property.

12. Governing Law

These Terms are governed by the laws of Lithuania. You irrevocably submit to the exclusive jurisdiction of the courts in that location.
